These Terms and Conditions of Sale are entered into, on the one hand, by Institut Calysta EURL, a company with share capital of EUR 1,000, whose registered office is located at 7 rue de l’Industrie, 68730 Blotzheim, France, registered with the Mulhouse Trade and Companies Register under number 823011085, hereinafter referred to as “Institut Calysta”, which operates the website “www.institutcalysta.com”, and, on the other hand, by any natural person or legal entity wishing to make a purchase via the website www.institutcalysta.com, hereinafter referred to as the “Buyer”.

Article 1. Purpose

These Terms and Conditions of Sale are intended to define the contractual relationship between Institut Calysta and the Buyer, as well as the conditions applicable to any purchase made through the website “www.institutcalysta.com”. The purchase of a product through this website implies the Buyer’s unconditional acceptance of these Terms and Conditions of Sale, which the Buyer acknowledges having read prior to placing an order. Before any transaction is completed, the Buyer declares, firstly, that the purchase of products on the website www.institutcalysta.com is not directly related to the Buyer’s professional activity and is limited to strictly personal use, and secondly, that the Buyer has full legal capacity to enter into obligations under these general terms and conditions of sale.

Institut Calysta reserves the right to amend these Terms and Conditions of Sale at any time in order to comply with any new regulations or to improve the use of its website. Consequently, the terms applicable shall be those in force on the date the order is placed by the Buyer.

Article 2. Products

The products offered are those appearing on the website “www.institutcalysta.com” of Institut Calysta, subject to availability. Institut Calysta reserves the right to modify its product range at any time. Each product is presented on the website by means of a description setting out its main technical characteristics (capacity, use, composition). Photographs are as accurate as possible but are not binding on the Seller. The sale of the products presented on the website “www.institutcalysta.com” is intended for all Buyers residing in countries that fully authorize the entry of such products into their territory.

Article 3. Prices

The prices appearing on the product sheets in the online catalogue are prices in Euros (€), inclusive of all taxes (TTC), taking into account the VAT applicable on the date the order is placed. Any change in the VAT rate may be reflected in the price of the products. Institut Calysta reserves the right to change its prices at any time, it being understood, however, that the price appearing in the catalogue on the day the order is placed shall be the only price applicable to the Buyer. Article 4. Orders and payment terms

Before placing any order, the Buyer must create an account on the website “www.institutcalysta.com”. The account creation section is directly accessible from the menu bar. On each visit, if the Buyer wishes to place an order or view their account (order status, profile, etc.), the Buyer must log in using their credentials. Institut Calysta offers the Buyer the option to order and pay for products in several steps, with 3 payment options to choose from:

Article 5. Retention of title

Institut Calysta retains full ownership of the products sold until full payment of the price has been received, including principal, costs and taxes.

Article 6. Withdrawal

Pursuant to Article L121-20 of the French Consumer Code, the Buyer has a period of fourteen working days from delivery of the order in which to exercise their right of withdrawal and thus return the product to the seller for exchange or refund without penalty, except for return shipping costs.

In order for the withdrawal period to be complied with, it is sufficient for the Buyer to send their communication concerning the exercise of the right of withdrawal before the withdrawal period has expired.

Article 7. Delivery

Deliveries are made to the address indicated on the purchase order, which may only be within the agreed geographical area. Postal shipments are carried out by the carrier chosen by Institut Calysta, depending on the delivery address and the nature of the contents of the parcel. Orders are generally dispatched via La Poste (COLISSIMO), a tracked delivery service without signature on delivery. Delivery times are given for indicative purposes only; if they exceed thirty days from the date of the order, the sales contract may be terminated and the Buyer refunded. Institut Calysta may provide the Buyer by email with the parcel tracking number. The Buyer receives delivery at their home by the carrier. In the event of the Buyer’s absence, a delivery notice may be left, enabling the ordered products to be collected from the indicated collection point within a period set by the carrier. Risk of deterioration or loss of the goods shall pass upon receipt of the delivered goods. The Buyer is required to verify, in the presence of the carrier, the condition of the packaging and the contents of the goods upon delivery. In the event of damage during transport, any complaint must be made to the carrier within three days from delivery.

The Buyer also has the option of choosing delivery to a relay point via Mondial Relay, subject to the availability of this service in the relevant geographical area. In this case, the Buyer selects the relay point when placing the order. Institut Calysta will communicate by email the parcel tracking number as well as the information relating to the selected relay point. The parcel will be made available at the chosen relay point for a limited period set by Mondial Relay. It is the Buyer’s responsibility to collect the parcel within this period. Failing this, the parcel may be returned to the sender. The risk of loss or deterioration shall pass at the time the Buyer collects the parcel from the relay point. The Buyer is required to verify the condition of the parcel and its contents upon collection and to make any reservations to the relay point or the carrier in accordance with the applicable deadlines.

Reshipment fees
Deliveries are handled by external carriers. Shipping costs may be offered at the discretion of Institut Calysta, and only once per order. If a parcel is returned for any reason whatsoever (incorrect or incomplete address, unclaimed parcel, refused delivery, transport-related incident, etc.), a fixed contribution toward reshipment costs shall be charged to the customer in the amount of €6.90 for mainland France and €9.90 for international shipments. This contribution must be paid prior to any new shipment.

Article 8. Warranty

All products supplied by Institut Calysta benefit from the legal warranty provided for by Articles 1641 et seq. of the French Civil Code. In the event of non-conformity of a product sold, it may be returned to Institut Calysta, which will take it back, exchange it or refund it.
